Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Cook EZ, the operator of cookezapp.com and the Cook EZ mobile applications ("Cook EZ," "we," "us," or "our").

By creating an account, starting a subscription, or otherwise using Cook EZ (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Cook EZ is an AI-assisted cooking app. Features may include generating recipes from photos or text, Cook Mode, calorie and macro logging, a cooking streak and journal, collections, shopping lists, pantry, and recipe-card export.

Nutrition numbers are estimates, not lab measurements. Cook EZ is not a medical device and does not diagnose, treat, or replace advice from a clinician. Always verify allergens and cook food to a safe temperature.

We may modify, suspend, or discontinue features with reasonable notice when practicable. Beta or experimental features may change or be removed without notice.

You must be at least 13 years old to use Cook EZ. Calorie tracking is not available under 16. If you are under 18 (or the age of majority where you live), you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.

You must have the legal capacity to enter a contract and authority to use any payment method charged through the app stores. The Service is not available where prohibited by law.

You must sign in with Apple, Google, or email verification (via Clerk). You are responsible for activity under your account and for keeping access to your sign-in methods secure.

Provide accurate information. Notify us promptly at admin@umratech.com of unauthorized use. We may suspend or terminate accounts that are inaccurate, abusive, or insecure.

Cook EZ offers a free path for meal logging and paid Cook EZ Pro plans for recipe generation. Plans and pricing are shown in the app via Apple App Store or Google Play (through RevenueCat) and may vary by region. Typical U.S. reference prices include:

• Weekly plan: billed every week.
• Monthly plan: billed every month.
• Yearly plan: billed every year, which may include a free trial as shown in the store.
• Occasional winback or promotional yearly offers at a discounted price, with terms shown in the offer screen.

Payment is charged to your Apple ID or Google Play account at confirmation of purchase. Subscriptions auto-renew unless you cancel at least 24 hours before the end of the current period in your store account settings.

Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current price for your plan. You can manage or turn off auto-renewal in your store Account Settings after purchase.

Deleting the app does not cancel your subscription.

Refunds are handled by Apple or Google under their policies. We cannot directly process store refunds.

AI recipe generation consumes credits. Meal logging, barcode lookup, and search do not consume credits. Credit allowances and costs are displayed in the app and may be updated prospectively.

Credits refresh on a per-period basis tied to your plan and do not roll over. If a generation fails for reasons we determine are on us, we may refund the credits for that job.

Circumventing credit limits, creating multiple accounts to abuse promotions, or attacking our systems is a material breach of these Terms.

Subject to these Terms and an eligible account, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service to cook for yourself and people you feed.

You may not copy, reverse engineer, scrape, resell, rent, or provide the Service as a competing API or bulk generation bureau unless we agree in writing.

You retain ownership of the photos, notes, and other materials you submit ("User Content"), and, as between you and Cook EZ, you own the recipes and logs generated for you in the Service ("Outputs"), subject to these Terms, third-party model/provider terms, and applicable law.

You are solely responsible for User Content and Outputs you publish or cook from, including allergen checks, food safety, rights in uploaded photos, and any required AI-content labeling.

You grant Cook EZ a worldwide, non-exclusive license to host, process, transmit, moderate, and display User Content and Outputs solely to operate, secure, and improve the Service for you (for example storing recipes, generating images, logging meals, and providing support).

We do not claim ownership of your User Content or Outputs, and we do not use your content to train our own foundation models. We do not sell your content.

You agree not to use Cook EZ to:

• Violate any law or others' rights (including privacy, publicity, and intellectual property).
• Create or request unlawful, hateful, harassing, extremist, sexually exploitative, or severely deceptive content.
• Upload malware or content you do not have rights to use.
• Interfere with or overload the Service, bypass rate limits, or scrape the Service.
• Treat Outputs as professional medical, nutritionist, or allergen-free certification without appropriate review.
• Use the Service if we have suspended or banned you.

Outputs are produced by probabilistic AI systems and may be wrong, incomplete, biased, non-original, or unsafe to cook as written. Cook EZ is not a medical provider, dietitian, or allergen certification service.

Calorie and macro figures are estimates. Always verify labels if you have allergies and cook proteins to a safe internal temperature.

You must review recipes and logs before you cook or rely on them.

The Service, including our software, design system, trademarks, logos, and brand assets, is owned by Cook EZ and its licensors. These Terms do not transfer any Cook EZ IP to you except the limited license in Section 8.

Feedback you send may be used by us without obligation to you.

Cook EZ is not affiliated with, endorsed by, or sponsored by TikTok, ByteDance, Instagram, Meta, Apple, or Google, except to the extent those companies provide sign-in, billing, health, or OS services you choose to use. Open Food Facts is a separate open dataset licensed under ODbL.

Your use of third-party platforms is governed by their terms. We are not responsible for those platforms' actions, ranking, removals, or account penalties.

You may stop using Cook EZ at any time and delete your account in Settings. You must still cancel any store subscription separately to avoid renewal charges.

We may suspend or terminate access immediately if you breach these Terms, create risk for other users or our providers, fail to pay, or if we discontinue the Service. Upon termination, your license ends. Sections that by nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that recipes, nutrition estimates, or allergen flags will be complete or suitable for you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COOK EZ AND ITS OPERATORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR OUTPUTS, INCLUDING FOODBORNE ILLNESS OR ALLERGIC REACTION.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO USE COOK EZ IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD 50, IF YOU HAVE NOT PAID ANYTHING.

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted.

You will defend and indemnify Cook EZ and its operators against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, Outputs, misuse of the Service, or violation of these Terms or third-party rights.

We may update these Terms from time to time. We will revise the "Last updated" date and may provide additional notice for material changes. Continued use after changes become effective constitutes acceptance, except where applicable law requires otherwise.

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protections in your country of residence require otherwise.

Before filing a claim, you agree to try to resolve the dispute informally by emailing admin@umratech.com with a description of the issue. If we cannot resolve it within 30 days, either party may pursue relief in a court of competent jurisdiction, subject to applicable law.

Nothing in these Terms limits rights you may have as a consumer that cannot be waived by contract.

These Terms, plus the Privacy Policy and any in-app disclosures for a specific purchase, are the entire agreement between you and Cook EZ regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale.

Apple and Google are not parties to these Terms and have no obligation to provide maintenance or support for Cook EZ. To the extent required by Apple's terms, Apple is a third-party beneficiary of this paragraph regarding the iOS app.
